We reserve the right to update or modify these Terms at any time without prior notice. Your continued use of our services after any changes constitutes your acceptance of the revised Terms.
2. Use of Services
You agree to use our website and services only for lawful purposes and in a manner that does not infringe upon the rights of others or restrict their use and enjoyment of the services.
Prohibited Activities
- Violating any applicable laws, regulations, or third-party rights

- Distributing malware, viruses, or harmful code
- Engaging in fraudulent or deceptive activities

4. Client Obligations
When engaging our services, you agree to:
- Provide Accurate Information: Supply complete, accurate, and current information necessary for service delivery
- Cooperate in Good Faith: Provide timely feedback, approvals, and access to required resources
- Comply with Applicable Laws: Ensure compliance with all applicable laws and regulations in your jurisdiction
- Respect Confidentiality: Maintain the confidentiality of any proprietary information shared during our engagement
5. Fees & Payment
Fees for our services are outlined in the applicable proposal, statement of work, or service agreement. Unless otherwise specified:
- Fees are quoted in US Dollars (USD) or Nigerian Naira (NGN) as indicated
- A 50% deposit may be required to commence work on projects
- Final payment is due upon project completion or in accordance with milestone schedules
- Late payments may be subject to interest charges at the rate of 1.5% per month
- All fees are non-refundable except as expressly provided in the service agreement
6. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or confidential information shared during the course of our engagement. This includes:
- Business strategies, financial information, and operational data
- Technical specifications, source code, and algorithms
- Client lists, customer data, and personnel information
- Project plans, deliverables, and internal communications
This obligation survives the termination of our engagement and continues indefinitely unless otherwise agreed in writing.
7. Warranties & Disclaimers
GeoTechEnvision Africa warrants that:
- Services will be performed in a professional and workmanlike manner
- Deliverables will conform to the specifications in the applicable agreement
Limitations:
- Our services are provided "as is" and "as available"
- We do not warrant that services will be error-free or uninterrupted
- We do not guarantee specific outcomes or business results
- We are not responsible for third-party systems, software, or services
To the maximum extent permitted by law, we disclaim all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
8. Limitation of Liability
To the fullest extent permitted by law, GeoTechEnvision Africa and its officers, employees, and affiliates shall not be liable for:
- Indirect Damages: Any indirect, incidental, special, consequential, or punitive damages
- Lost Profits: Loss of profits, revenue, data, or business opportunities
- Third-Party Claims: Any claims or damages arising from third-party actions
- System Failures: Damages resulting from system failures, downtime, or security breaches
Our total liability under these Terms shall not exceed the total fees paid by you for the specific service giving rise to the claim.
9. Indemnification
You agree to indemnify, defend, and hold harmless GeoTechEnvision Africa and its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from:
- Your use of our website or services in violation of these Terms
- Your violation of any applicable laws or regulations
- Your infringement of third-party rights
- Your negligence, misconduct, or breach of obligations
10. Termination
Either party may terminate the engagement at any time, subject to the terms of the applicable service agreement. Grounds for termination include:
- Material breach of these Terms or the applicable agreement
- Failure to pay fees when due
- Mutual agreement to terminate
- Inability to perform services due to unforeseen circumstances
Upon termination, all fees for services rendered up to the termination date remain payable. Outstanding deliverables will be provided upon full payment.
11. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.
Any dispute arising from or relating to these Terms or your use of our services shall be resolved as follows:
- Negotiation: The parties shall first attempt to resolve the dispute through good-faith negotiations
- Mediation: If negotiation fails, the parties may engage a mutually agreed mediator
- Arbitration: If mediation fails, disputes shall be resolved by binding arbitration in Lagos, Nigeria, in accordance with the Arbitration and Conciliation Act of Nigeria
In any dispute, the prevailing party shall be entitled to recover reasonable attorney's fees and costs.
